ON DISC MONTHLY CONTRACT With respect to all performances offered to Relix Magazine LLC by you for inclusion in the audio compilation that will accompany each issue and unique edition of Relix Magazine LLC, worldwide, as part of this subscription and newsstand program, you warrant and represent that you will have the right to license the performance to us, that necessary approvals and clearances have been obtained and that no payment will be due to you or the applicable artist or any person featured in the performance or any creator of the performance or any owner of the material in the performance, including, without limitation, music publishers, musicians, vocalists, unions, or guilds, and that the use of the performance will not violate the rights of any third party. The packaging for the sampler will contain such copyright notices and other information as mutually agreed upon between us. Relix Magazine will have the right to manufacture and utilize the performance in one sampler, within each edition printed worldwide, thus including the right to promote each sampler to Relix Magazine LLC subscribers for a period of five (5) years from the initial release of such sampler. Under separate cover, you will complete and return a release form for each performance you submit to be included on the RELIX ON DISC with an appropriate time table for the submissions and technical specifications for the performance to be furnished to us in order to meet Relix Magazine’s monthly release dates. Relix Magazine LLC, worldwide, will have the right to use your company name and logo (provided by your company), the names, likenesses and biographical material of the artists, and the performance provided on a master, CDR or PMCD for advertising and promotional purposes in connection with the samplers and in any catalogs issued by us relating thereto. Relix Magazine LLC will indemnify you against all claims relating to our manufacturer, distribution, and advertising of the samplers other than those items for which you are responsible. Once having supplied us with a performance, the rights and obligations of both parties mentioned here will apply. Entry and payment in JamOff 2008 will be considered full acceptance and agreement with the above information. Steve
